NextWave Partners USA is working with a global renewable energy player which is backed by a leading international private equity fund through its 5 billion$ impact investment platform.
The client is looking for a highly motivated individual to play a key role in its newly established team. Based in Miami, the legal manager will be responsible for managing all the legal aspects of the investment cycle, including negotiations of PSAs/MIPAs, monitoring the legal aspect of due diligence, coordinating efforts with external legal counsel, as well as managing the firm’s key corporate legal functions.
Responsibilities
Overseeing legal due diligence, negotiations and execution of definitive documentation for M&A, co-investments, JV’s, development opportunities, financing arrangements and operations;
Leading negotiations of transaction documentation such as SPAs, MIPAs, DSAs, etc;
Overseeing negotiations of project agreements such as EPC, O&M, Asset Management, PPA, financing agreements, etc
Supporting the internal business teams including M&A, business development, HR, finance, technical and operations as required;
Managing general business matters such as NDAs, leases, supply agreements, employment matters, etc.
Staying in front of all energy regulatory frameworks and the commercial impact of legislative changes;
First point of contact to handle any potential corporate or subsidiary litigation;
Overseeing shareholder matters across relevant jurisdictions where the company has active business activities;
Managing all compliance, anti-bribery and corruption, corporate policy implementation and corporate regulatory matters for the company and its subsidiaries;
Administering the corporate secretarial processes and working closely with relevant bodies to prepare Board and shareholder resolutions;
Handling corporate governance processes and maintaining all governance documentation for multiple entities - proactively updating when changes occur and creating new corporate entities in various jurisdiction when needed;
Relationship management with corporate external counsel.
Requirements
At least 10 years of relevant experience across renewable energy, corporate law, M&A, and private equity/infrastructure investing;
Excellent technical drafting skills, detail oriented and familiarity with the documents and types of work covered under the role;
A proactive and highly motivated self-starter with a commercial approach;
A strong communicator with the ability to deal confidently and build relationships with colleagues, advisors and investors;
Experience instructing and managing external/local counsel;
Ability to travel as needed;
