​NextWave Partners USA is working with a Global Renewable Energy Player that has recently acquired a Distributed Generation Solar Company and this role for an M&A Counsel is a critical hire to be a part of this newly acquired Solar DG business.

M&A Counsel will be a legal advisor on all aspects of DG solar project development, construction, operation, acquisition, disposition, and financing.

The role has to be based in New York.

Responsibilities

  • M&A Counsel will manage and lead M&A transactions, JVs, asset rotation transactions, and tax equity transactions.

  • M&A Counsel will review, draft and negotiate transaction documents such as asset purchase agreements, equity purchase and sale agreements, capital contribution agreements, shareholders agreements, and limited liability company agreements.

  • M&A Counsel will review, draft and negotiate ancillary agreements such as LOIs and confidentiality agreements, assignment agreements, and termination agreements.

  • M&A Counsel will conduct and coordinate project M&A due diligence and provide legal support and analysis on project development-related issues as well as work with internal teams, including investments and M&A, finance, real estate, tax, environmental, permitting, and regulatory.

  • M&A Counsel will draft, negotiate, and finalize commercial contracts such as engineering service agreements, PPAs, road use agreements, shared facilities agreements, EPC agreements, construction agreements, interconnection agreements, and consulting services agreements.

Requirements

  • M&A Counsel will be a Juris Doctorate.

  • M&A Counsel will have at least 5 to 8 years of in-house counsel or comparable law firm experience with emphasis on independent document preparation.

  • M&A Counsel will have experience in the energy and power industry with particular experience in distributed solar projects preferred.

  • M&A Counsel will have knowledge of, and drafting experience in, M&A of third-party companies and projects, sales and purchases of company assets, and membership interests in Company limited liability companies.

  • M&A Counsel should have licensure to practice law in at least one state, preferably Texas, and have strong project finance and tax equity financing or mergers and acquisitions experience. Experience successfully managing outside counsel.
