Our client is seeking an outstanding transactional attorney with expertise in the energy industry, who will oversee matters related to project development, joint venture implementation, corporate governance, M&A, regulatory (including affiliate transactions) and compliance issues. The successful candidate will have a deep and nuanced understanding of the LNG industry and will coordinate with internal and external specialized consultants to ensure the project is and remains in full compliance with all applicable laws and regulations for designated project(s) and business(es).



Day-to-day activities will include (i) review, analysis, interpretation and administration of O&M, project administration and construction management agreements, LNG sale and purchase agreements, natural gas supply and transportation agreements, interconnection agreements, as well as other project contracts; and (ii) interaction with both domestic and international counterparties and collaboration with multi-functional teams in support of the designated project(s) and business(es).



Duties and Responsibilities

  • Provide advice and counsel on matters related to compliance with Mexico and U.S. regulations applicable to LNG market, including regulatory obligations imposed by the FERC, DOE, SENER, CRE and other regulatory agencies.
  • Monitor and advise the business on industry developments, regulatory changes, and legal trends that affect the designated project(s) and business(es).
  • Work with US and Mexican permitting teams to support permitting and compliance with Mexican regulations applicable to designated energy projects in that country.
  • Provide secondary support for drafting of natural gas purchase and sales contracts, under the supervision of experienced natural gas regulatory legal team.
  • Oversight and implementation of a variety of complex and ordinary course transactions and documentation of commercial contracts and other business arrangements, particularly as they relate to the designated project(s) and business(es) in Mexico.
  • Participate in hiring and managing outside counsel to assist with transactional and regulatory advice to the designated project(s) and business(es) in Mexico.
  • Perform other duties as assigned (no more than 5% of duties).


Qualifications Qualifications

Education

  • JD (Juris Doctor) J.D. or LL.M from an accredited law school Required

Experience

  • 7+ Relevant experience managing legal services for complex transactions. Required
  • 5+ years at a law firm.
  • 5+ years in-house experience.

Skills and Abilities

  • Must have excellent legal analysis, writing, and communications skills.
  • Willingness to go above and beyond when tackling projects.
  • Demonstrated ability to manage a range of legal matters independently or with limited support.
  • Ability to translate complex legal concepts into actionable advice for the business unit and act as a strategic partner for the business.

Licenses and Certifications

  • Current member in good standing of a bar in U.S Jurisdiction, with strong preference for admission in California or Texas. Required. Member in good standing of the California Bar or another U.S Jurisdiction.



Work Schedule
HYBRID: Work a combination of onsite and remote days each week, typically 3 days per week onsite.
